This website design contract (“Contract”) is made and entered into on [Date] by and between [Client Name] (“Client”) and My Amazing Site (“Designer”).
Scope of Work The Designer agrees to provide the Client with a website design (“Work Product”) according to the specifications outlined in Exhibit A, which is attached hereto and incorporated herein by reference. The Designer will provide the Work Product in a timely and professional manner.
Compensation The Client agrees to pay the Designer the sum of [Amount] for the Work Product. The payment will be made as follows: [Payment Schedule]. The Designer will not commence work on the Work Product until the initial payment has been received.
Ownership and Intellectual Property Rights Upon full payment of the agreed-upon compensation, the Client shall have full ownership of the Work Product, including all intellectual property rights associated therewith. Until full payment has been received, the Designer retains all ownership and intellectual property rights in the Work Product.
Confidentiality The Designer agrees to keep confidential all information provided by the Client, including but not limited to business plans, trade secrets, and other proprietary information. The Designer will not disclose such information to any third party without the Client’s prior written consent.
Warranties The Designer represents and warrants that the Work Product will be original and not infringe upon the intellectual property rights of any third party. The Designer further represents and warrants that the Work Product will be free from defects and errors.
Termination Either party may terminate this Contract upon written notice to the other party in the event of a material breach by the other party. In the event of termination, the Client shall pay the Designer for all services performed up to the date of termination.
Governing Law This Contract shall be governed by and construed in accordance with the laws of the [State/Country], without giving effect to any choice of law or conflict of law provisions. Any dispute arising under or related to this Contract shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
Entire Agreement This Contract constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between the parties. This Contract may not be amended or modified except in writing signed by both parties.
